How to Switch Business Lawyers in California (And Minimizing Lost Time or Money)

Oct 23, 2026

Your company is midway through a contract dispute, and your confidence in your lawyer is slipping. Calls go unreturned for days. Strategy decisions happen without your input. Invoices arrive with little explanation of the work behind them.

Many owners hesitate to switch business lawyers at this stage. They worry that a change will stall the case, tie their file to the old firm, or double their legal spend. Those risks are real.

This article offers general information, not legal advice. Your options depend on your fee agreement, your court schedule, and the facts of your case, so review them with an attorney before you act. If you’re weighing a new business litigation attorney, start here.

Can You Switch Business Lawyers in the Middle of a Case?

Yes. California gives the client control over the attorney-client relationship. A client may discharge a lawyer at any time, with or without cause. You don’t need your current lawyer’s permission, and you don’t owe anyone an explanation.

That right comes with practical limits you should plan around before you act:

  • Your deadlines keep running. Changing counsel doesn’t pause discovery responses, hearing dates, or a trial setting at any stage of the litigation timeline.
  • Earned fees remain owed. Discharge ends future billing under your agreement. It doesn’t erase charges for work your lawyer already performed.
  • Your company can’t represent itself. Outside small claims court, California does not allow a corporation or LLC to appear in court without a licensed attorney.

The third point sets the order for everything else. An individual can handle their own case for a short stretch between lawyers. A business entity can’t, so any gap in representation exposes the company to missed filings and possible defaults. Line up a civil litigation attorney ready to take over before your current one steps away.

What Steps Protect Your Business When You Switch Lawyers?

Each step below sets up the one after it. Skipping ahead creates the delays and costs most owners fear.

Hire Your New Lawyer First

Retain replacement counsel before you send any discharge notice. The new firm needs time to run a conflict check, review the docket, and calendar every open deadline. That review often surfaces a date that changes the timing of the handoff, such as an opposition brief due within the week.

Use the problems that pushed you to switch as your screening criteria. The factors that matter when choosing a business litigation attorney, such as communication style and fee structure, apply with extra weight the second time around.

Ask for a written fee agreement. Business and Professions Code section 6148 requires one for most clients.

Review Your Current Retainer Agreement

Pull out the engagement letter you signed with your current firm. Look for termination provisions, notice requirements, and any clause that sets how the final invoice gets calculated.

Pay close attention to money you paid upfront. Rule 1.16(e)(2) of the California Rules of Professional Conduct requires a lawyer to refund any advance fee not yet earned. A true retainer works differently: it secures the lawyer’s availability and is generally not refundable.

Many agreements call an advance deposit a “retainer” when it functions as prepaid fees, so the label alone doesn’t decide the question. Ask the counsel you just retained to read the agreement as part of intake. That legal document review can flag terms that affect your final bill before you send notice.

Send a Clear Written Discharge Letter

Knowing how to fire your lawyer professionally protects your position later. Keep the letter short and factual. Leave out complaints about past work, since the letter may resurface in a billing disagreement.

A well-built discharge letter states:

  • The effective date of the termination
  • Your new lawyer’s name and contact information
  • A request to transfer the complete file to new counsel
  • A request for a final itemized invoice and a refund of any unearned advance fees

Send it by email and a trackable delivery method to keep proof of receipt.

Although not required, it can be helpful if you have something that you did like about your prior attorney and compliment them on that.  Just explain you have decided to use another attorney.

Request Your Complete Client File

California treats the file as yours. Under Rule 1.16(e)(1), a lawyer whose representation ends must promptly release client materials and property on request, even if you haven’t paid for them. A former lawyer can’t hold your file hostage over unpaid invoices.

The rule reaches correspondence, pleadings, deposition transcripts, expert reports, exhibits, and physical evidence in any format. Ask for electronic records in their original formats, including discovery productions, so your new lawyer doesn’t spend billable hours rebuilding data.

File a Substitution of Attorney

In California state court, the change becomes official through a substitution of attorney on Judicial Council Form MC-050. You, your former lawyer, and your new lawyer each sign it, and your new lawyer files it with the court and serves it on every party.

A former lawyer who refuses to sign doesn’t block the switch. You can ask the court to order the change by motion under Code of Civil Procedure section 284. Federal cases follow each court’s local rules, which often require a judge’s approval. For contract or advisory work with no pending case, the discharge letter and a representation letter to your former lawyer complete the transition.

Resolve Final Bills and Fee Disputes

You should review the final invoice and if you have questions, either have a phone call or send an email to your attorney.  If an attorney fee dispute arises, the Mandatory Fee Arbitration Act (Business and Professions Code sections 6200 to 6206) provides a lower-cost forum than a lawsuit. A lawyer must notify you of your right to fee arbitration before suing you over fees.

County bar associations run most programs, and the State Bar covers areas without a county bar association. The award stays nonbinding unless both sides agree in writing, after the dispute arises, to be bound.

How Can Nick Heimlich Law Help You Switch Business Lawyers?

Nick Heimlich Law represents businesses in San Jose and across the Bay Area in commercial disputes, including matters already underway with other counsel. When attorney Nick Heimlich takes over an active case, the work starts with the calendar and the file, so nothing time-sensitive slips.  While he is not looking to take over other attorneys work, if you cannot work with your attorney or your attorney can no longer represent you (such as attorney retirements, death or disability), then feel free to reach out.

Transition support can include:

  • Deadline intake: Calendaring responses, hearing, and trial date at the start of the engagement
  • Substitution filing: Preparing Form MC-050 and coordinating signatures with prior counsel
  • File recovery: Requesting the complete file and following up on missing materials (You may need to email your prior attorney to confirm that you want the file forwarded to the new attorney)
  • Fee dispute support: Checking your prior counsel’s final bill against your fee agreement and assisting with an attorney-client fee dispute if one arises
  • Case assessment: Evaluating the current posture and recommending next steps

A smooth switch comes down to sequence: secure new counsel, review your agreement, discharge in writing, recover your file, and formalize the change with the court. Each step protects the time and money your business has already invested.

Consultations start at $450+/hr (as of October 2026, rates subject to change) with a one-hour minimum. If you need a business attorney in San Jose to take over an active matter, contact Nick Heimlich Law for structured, experienced legal support.

FAQs

Will Switching Attorneys Mid-Case Delay My Trial Date?

Not automatically. California Rules of Court, rule 3.1332 treats trial dates as firm and disfavors continuances. A substitution of trial counsel supports a continuance only with an affirmative showing that the change is required in the interests of justice. Plan your switch assuming current dates will hold.  Realistically, depending on the complexity and how soon trial is, a date may need to change.

How Much Does It Cost to Change Attorneys?

Expect two costs: the final bill for work your former lawyer completed and your new lawyer’s time reviewing the file to get up to speed. The second number depends on case size, discovery volume, and procedural posture.

Does a Judge Need to Approve a Substitution of Attorney in California?

No. Code of Civil Procedure section 284 allows a change of attorney upon the consent of both the client and the attorney, filed with the clerk, with no hearing required. Court involvement comes into play when the former lawyer withholds consent (in state or federal court) or when a federal court’s local rules independently require a judge’s approval.

Do You Have to Explain the Switch to the Court or Opposing Counsel?

No. Form MC-050 records who represents your business, not why the change happened. Keep your reasons out of court filings and out of conversations with the other side, since that information can expose weaknesses in your case. After filing, route all contact with opposing counsel through your new lawyer.

What Business Matters Can a New Lawyer Take Over Mid-Stream?

Most active business matters can be transferred, including breach-of-contract claims, partnership and shareholder disputes, commercial lease disputes, franchise disputes, and employer-side employment claims. Mr Heimlich was very professional kind and knowledgeable when I give him a call. I was calling to hire an attorney for an tenant and landlord dispute. I had a particular issue that Mr Heimlich took time to completely listen to me. unfortunately the area I needed help was not an area that Mr Nick practiced. but he was not hesitant to give me some leads and direct me to the right place. he's a man of character and cares about what he does, I can only imagine his level of excellence in his area of expertise. he's a man of great character and I would recommend him for anyone to give him a call and talk to him. thank you very much Nick. thank you for caring .

I entered into a membership contract that had unreasonable cancellation requirements. I went to Nick through my company’s employee assistance program. Nick did thorough research and found that the contract term exceeded term limits allowed by California law. As a result, I was able to cancel the contract without any penalty. I was very satisfied with the outcome.

My family cannot thank Nick enough. We needed a business litigation attorney for a lawsuit that was going to trial, he not only took the time to understand the complexities of the case but was able to convey that to the judge. He was able to get us amazing results. Hands down the best attorney we have ever worked with.
